Trade Professional Terms & Conditions
1. Who we are
CertPack is a trading name of Sonic Blue Technologies Ltd, registered in England & Wales (Company No. 12789740), registered office The Old Dairy, Redhill, Surrey, RH1 5LN. Contact: admin@certpack.co.uk. References to “CertPack”, “we” or “us” mean Sonic Blue Technologies Ltd.
2. About this agreement
These terms apply to any trade professional (“Supplier”, “you”) who registers with CertPack to receive booked inspection work, including EPC, Gas Safety and EICR jobs. By ticking “I agree” at sign-up, you accept these terms in full.
3. Nature of the relationship
You are engaged as an independent, self-employed subcontractor for each job you accept. Nothing in these terms creates an employment relationship, partnership, or agency between you and CertPack.
You are free to accept or decline any job offered, and to work for other clients, including businesses that compete with CertPack.
You may, with reasonable notice to CertPack, send a suitably qualified and accredited substitute to carry out a job in your place, provided they meet the requirements of Clause 5.
You are responsible for your own tax and National Insurance affairs, including registration under the Construction Industry Scheme (CIS) where applicable.
4. Accepting work
CertPack will notify you of available jobs by email. Accepting a job is a commitment to attend at the confirmed time and complete the work to the required standard.
You must notify CertPack as soon as possible, and wherever possible no less than 24 hours in advance, if you cannot attend a confirmed job.
Repeated late cancellation or non-attendance may result in suspension or removal from CertPack's supplier network.
5. Accreditation, qualifications & insurance
You must hold, and keep current, all accreditations and qualifications required to carry out the relevant certificate type, including as applicable: Gas Safe registration, NICEIC or NAPIT registration, and accreditation with an approved EPC scheme (e.g. Elmhurst Energy, Stroma, or Quidos).
You must hold valid Public Liability Insurance and Professional Indemnity Insurance at all times.
You must notify CertPack immediately if any accreditation, registration, or insurance lapses. CertPack may suspend or terminate your access to work with immediate effect in these circumstances.
CertPack may request evidence of accreditation and insurance at any time.
6. Fees & commission
CertPack charges a commission of 20% of the customer-facing price of each completed booking, deducted from the amount paid to you.
Commission covers the marketing, booking, scheduling, customer payment collection, and administration CertPack carries out to secure and manage each job.
CertPack may change its commission rate or pricing structure from time to time, with at least 30 days' written notice to active Suppliers.
7. Payment terms
Customers pay CertPack in full at the time of booking.
Once you mark a job complete and the certificate has been issued to the customer, a 2 working day review period begins (see Clause 9).
Provided no dispute is raised within the review period, CertPack will pay you the agreed fee, less commission, within 2 working days of the review period closing.
Payments are made by bank transfer to the account details you provide. You are responsible for keeping these accurate and up to date.
8. Customer cancellations & failed visits
If a customer cancels a booking more than 48 hours before the scheduled appointment, the job is simply removed from your schedule and no fee is payable.
If a customer cancels within 48 hours of the scheduled appointment, their booking is non-refundable under our customer terms. If you were allocated the job and given less than 24 hours' notice of the cancellation, CertPack will pay you a late-cancellation fee of 50% of the standard net fee.
If you attend a confirmed appointment and are unable to complete the job because the customer failed to provide access, gave inaccurate property details, or the property was unsafe to inspect — through no fault of your own — CertPack will pay you an attendance fee of 50% of the standard net fee for the visit.
These fees are paid under the same review and payment timeline as Clause 7.
9. Disputes & quality concerns
If a customer raises a concern about a completed job within the 2 working day review period following certificate issue, CertPack will hold payment pending investigation.
CertPack aims to resolve most disputes within 48 hours of being raised; cases requiring re-inspection or third-party assessment may take longer.
Where an investigation finds against you, CertPack may withhold payment for the disputed job, require the issue to be remedied at your own cost, and/or recover any refund paid to the customer from current or future payments due to you.
You agree to cooperate promptly with any CertPack investigation, including by providing your own records, test results, or explanation of the work carried out.
10. Non-solicitation
For 12 months following any job introduced to you by CertPack, you must not directly solicit, or accept unsolicited direct instruction from, any customer introduced to you through CertPack, for the same or similar services, without CertPack's prior written consent.
If a customer approaches you directly to book further work, you must refer them back to CertPack.
Breach of this clause may result in immediate termination, and CertPack may charge an introduction fee equivalent to its standard commission on the value of any work carried out in breach of it.
11. Standards of work
All work must be carried out to the relevant British Standard, statutory requirement, and industry code of practice for the certificate type, with reasonable skill and care.
You are solely responsible for the accuracy, completeness, and legal validity of any certificate you issue.
12. Data protection
You will only use customer and property data provided by CertPack for the purpose of completing the booked job, and will not retain, reuse, or share it for any other purpose.
You must handle all personal data in accordance with UK GDPR and the Data Protection Act 2018.
13. Branding & conduct
You are not required to wear CertPack branding, use a CertPack-liveried vehicle, or otherwise present as a CertPack employee.
You must treat customers professionally and courteously at all times.
14. Termination
Either party may terminate this agreement at any time with 14 days' written notice.
CertPack may suspend or terminate your access to work immediately, without notice, for serious breach of these terms, a lapse in required accreditation or insurance, or conduct that puts customer safety or CertPack's reputation at risk.
15. Liability
Nothing in these terms limits or excludes either party's liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited or excluded by law.
Subject to the above, CertPack's liability to you under these terms is limited to the fees due to you for the relevant booking.
16. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
